Atos confirma su intención de adquirir Gemalto para crear un líder global en ciberseguridad, tecnologías digitales y servicios

 

Madrid, 14 de diciembre de 2017.- Atos SE [Euronext Paris: ATO] (“Atos”), líder en transformación digital, responde hoy al anuncio de Gemalto N.V. [Euronext Amsterdam: GTO] (“Gemalto”) sobre su propuesta amistosa para adquirir Gemalto.

Atos confirma su propuesta de oferta pública en efectivo a un precio de 46.0 € por acción de Gemalto (con dividendo).

Este precio refleja de forma razonable el valor de Gemalto y presenta una prima sustancial a su último precio de acción no afectado (aproximadamente 42%). La oferta ha recibido un fuerte apoyo de los mercados financieros, los inversores y la comunidad de analistas desde su anuncio. Representa una oportunidad atractiva para que los accionistas de Gemalto obtengan un valor sustancial e inmediato por sus acciones.

Atos reitera su disposición a abrir negociaciones y confía en que la Junta Directiva de Gemalto entable un diálogo constructivo directo con respecto a la oferta. Atos reafirma que su oferta se realiza con intenciones amistosas y se basa en un proyecto industrial sólido y convincente para ambas compañías, sus empleados, clientes y otras partes interesadas. Atos confirma que, como compañía que contrata a más de 10.000 empleados al año, los 15.000 empleados de Gemalto serán bienvenidos e integrados en el grupo ampliado. Atos también confirma que tiene la intención de integrar todos los negocios de Gemalto dentro del grupo combinado y mantendrá la marca Gemalto.

Atos procederá con la transacción propuesta y está preparando con sus asesores todas las presentaciones regulatorias, así como el borrador del memorando de oferta que se presentará ante la Autoridad holandesa para los mercados financieros (Autoriteit Financiële Markten, AFM) y otras autoridades competentes.

Atos brindará puntualmente respuestas detalladas a todos los puntos planteados por Gemalto en su comunicado de prensa y carta de fecha 13 de diciembre de 2017.
