Atos schließt Übernahme von Unify von Gores und Siemens ab

Atos, ein international führender Anbieter digitaler Services, hat die Übernahme der Unify von Gores und Siemens erfolgreich abgeschlossen. Unify ist weltweit die Nummer drei für integrierte Kommunikationslösungen und erzielte 2015 1,2 Milliarden Euro Umsatz. Mit der Übernahme entstehen einzigartige integrierte Lösungen im Bereich Unified Communications, um soziale Interaktionen zu ermöglichen und um mittels digitaler Transformationsprozesse die Geschäftsleistung der Kunden zu optimieren.

Die Arbeitnehmervertreter sowie die Kartell- und Aufsichtsbehörden der Europäischen Union, der Vereinigten Staaten, Russlands und Brasiliens haben der Übernahme zugestimmt. Für die komplette Übernahme von Unify zahlt Atos 366 Millionen Euro aus Betriebsvermögen. Die Nettoverschuldung betrug beim Abschluss 48 Millionen Euro, das Pensionsdefizit lag bei 176 Millionen Euro. Daraus ergibt sich ein Unternehmenswert von 590 Millionen Euro, wie er am 3. November 2015 bei der Bekanntgabe der geplanten Übernahme beziffert wurde.

Unify wird sein aktuelles Restrukturierungsprogramm in Höhe von 267 Millionen Euro abschließen, um die erwarteten Kosteneinsparungen von 130 Millionen Euro auf jährlicher Basis bis 2017 zu erreichen. Zusätzlich startet Unify wie geplant einen weiteren Restrukturierungsplan in Höhe von 103 Millionen Euro, der bei Abschluss der Übernahme bereits vollständig vorbereitet war. Beide Restrukturierungspläne sind von den Verkäufern finanziert.

Ab 1. Februar 2016 sind die Unify-Services, die einen jährlichen Umsatz von circa 0,4 Milliarden Euro generieren, in die Atos Service Line Managed Services integriert.
