"Annual review by the Board of Directors of the implementation of the AFEP-MEDEF recommendations"

The Board of Atos met on 20 December to perform an annual review of the implementation by the Company of the AFEP-MEDEF Code of Corporate Governance for listed companies which includes recommendations on the conditions of the compensation of senior corporate officers.

 

The Board wanted to ensure that the implementation of these principles is made with regard to the consolidated version of the AFEP-MEDEF Code. The Board also relied on the specifications published by the AMF (“Autorité des Marchés Financiers” – French stock exchange regulator), notably in a report dated 11 October 2012.

 

Following the meeting, the Board of Atos considered that the system put in place by the Company on corporate governance, including on the CEO’s compensation, is consistent with the AFEP-MEDEF recommendations, and applied for each provision the “comply or explain” principle.
