Press release - December 2018

In accordance with the announcement made on November 16th, 2008, Atos Origin Supervisory Board (chaired by Mr Jean-Philippe THIERRY) has just convened an Extraordinary General Meeting on February 10th, 2009. At the agenda is a change of the articles of association to transform the Company into a “société anonyme” with a Board of Directors chaired by a Chairman and CEO instead of the current Supervisory Board and Management Board.

This change is in line with the company’s transformation and development plan launched at the end of 2008 by Mr Thierry BRETON. In this perspective, the Supervisory Board will submit for vote at the Assembly a Board of Directors consisting of 12 members and including: René ABATE, Behdad ALIZADEH, Nicolas BAZIRE, Jean-Paul BECHAT, Thierry BRETON, Dominique MEGRET, Bertrand MEUNIER, Michel PARIS, Vernon SANKEY et Jean-Philippe THIERRY, and an additional independent board member to be elected by the shareholders and whose name will be disclosed at the latest on the day of convocation of the Assembly. Finally, a representative of the employees shareholders will be provided for election, in accordance with Article L 225-23 of the French commercial code.

At this occasion, all members of the Supervisory Board, whether or not they have applied for the renewal of their mandate within the new Board of Directors are unanimously very pleased about the new direction the company is taking and have expressed their entire support for the orientations of the new management and future actions.
