"Yearly review by the Board of Directors of the implementation of the AFEP-MEDEF Code"

The Company committed in 2008 to implementing the AFEP-MEDEF corporate governance code for listed companies, relating to, notably, the conditions of compensation of senior corporate officers, and it regularly reports thereon. The Board of Atos met on December 18, 2014 to perform an annual review of the implementation by the Company of these governance principles.

The Board wanted to assess the implementation of these provisions with regard to the Company’s registration document for 2013, compared against the statistics set out in the yearly report of October 2014 on the implementation of the listed companies code of corporate governance issued by the Haut Comité de Gouvernement d’Entreprise (High Committee for Corporate Governance) dated October 2014. Following this meeting, to which participated some elected representatives of the Company’s employees (pursuant to an agreement dated December 14, 2012 in connection with the transformation of Atos to a European Company), the Board of Atos considered that the system put in place by the Company on corporate governance, including on the CEO’s compensation, is compliant with the recommendations of the AFEP-MEDEF Code.
